Terms of Service

01 Introduction

These Terms of Service ("Terms") govern the relationship between ALGORIN S.R.L. ("Company", "we", "us") and its clients ("Client", "you") in relation to IT services provided by ALGORIN.

By engaging our services or signing a project agreement, you agree to be bound by these Terms.

02 Services

ALGORIN provides the following IT services:

• Web Development — websites, web applications, e-commerce platforms, SaaS products
• Mobile App Development — iOS and Android apps (native and cross-platform)
• AI Automation — workflow automation, AI-powered tools and pipelines
• AI Business Integration — chatbots, AI analytics, lead generation systems, CRM AI
• Technical Consulting — architecture design, technology audits, roadmap planning

The specific scope, deliverables, timeline, and pricing are defined in individual project agreements or proposals.

03 Project Process

04 Payment Terms

• Project pricing is agreed upon in writing before work begins
• Standard payment structure: 50% upfront deposit, 50% on delivery
• For larger projects, milestone-based payments may be agreed
• Invoices are payable within 14 calendar days of issue
• Late payments may incur a 1.5% monthly fee
• Work may be paused if invoices are overdue by more than 30 days

05 Client Responsibilities

To ensure timely delivery, the Client agrees to:

• Provide complete and accurate project requirements
• Supply necessary content, assets, and access credentials on time
• Provide feedback and approvals within agreed timeframes (default: 5 business days)
• Designate a primary point of contact for the project
• Notify ALGORIN promptly of any scope changes

06 Intellectual Property

• Upon full payment, the Client receives full ownership of custom code and design created for their project
• Third-party libraries, frameworks, and tools remain under their respective licenses
• ALGORIN retains the right to reference the project in its portfolio (unless explicitly agreed otherwise)
• ALGORIN's internal tools, methodologies, and processes remain the property of ALGORIN S.R.L.

07 Confidentiality

ALGORIN treats all client information as confidential. We do not share project details, business information, or technical specifications with third parties without written consent. A separate NDA can be signed upon request.

08 Warranties & Limitation of Liability

ALGORIN warrants that services will be performed with professional skill and care. We provide a 30-day bug-fix warranty after project delivery for issues arising from our code.

We are not liable for:

• Issues caused by third-party services, APIs, or platforms
• Data loss due to client-side errors or third-party hosting failures
• Business losses arising from the use or inability to use the delivered product
• Delays caused by incomplete or incorrect client-provided information

Our total liability is limited to the amount paid by the Client for the specific project in question.

09 Revisions & Scope Changes

Each project includes a defined number of revision rounds as specified in the project agreement. Additional revisions or scope changes will be quoted separately and require written approval before implementation.

10 Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination:

• The Client pays for all work completed up to the termination date
• ALGORIN delivers all completed work and project files
• The upfront deposit is non-refundable if work has commenced

11 Governing Law

These Terms are governed by the laws of the Republic of Moldova. Any disputes shall be resolved in the courts of Chișinău, Moldova. For EU clients, applicable EU consumer protection regulations apply where relevant.

12 Changes to Terms

We may update these Terms from time to time. Existing project agreements are not affected by changes unless both parties agree in writing. Version: 1.0 · Last updated: April 2026
